MyWhisky First

The club for accredited investors.

We invite you to join MyWhisky First, our club for accredited investors. The club was founded to create a closed circle of experienced investors. Members enjoy events at which quality investments are presented to them, in whisky investment and in other fields.

An amendment by the Israel Securities Authority, in force since March 2016, to the definition of investors listed in the First Schedule to the Securities Law (“accredited investor”) allows a larger share of MyWhisky First investors to meet the “accredited investor” definition. The amendment eases the criteria: it removes the requirements for experience or expertise in the capital market and for a minimum number of transactions, lowers the liquid-assets threshold from NIS 12 million to NIS 8 million, and adds further alternatives based on annual income, or on a combination of liquid assets and annual income with a lower threshold.

As an “accredited investor”, as defined in the First Schedule to the Securities Law, you can become part of MyWhisky First. As a MyWhisky First member you will be entitled, first and foremost, to take part in the club's events and the investments presented at them, along with exposure to exclusive opportunities, financial guidance and advice, a benefit on cask purchases, and priority access to opportunities available in the market.

Please note: when you join an investment, we will need to independently verify that you meet the “accredited investor” definition, either through documents that support your declaration or through written confirmation from an accountant, a lawyer or another party with knowledge of the matter, who has taken reasonable steps to verify that you meet the statutory definition.

Further details on the Israel Securities Authority order are available in the May 2016 publication by the law firm Goldfarb Seligman & Co. at this link.

An “accredited investor” meets one of three tests set by the Israel Securities Authority:

  1. The asset-value testThe total value of the liquid assets they own exceeds NIS 8,364,177 (as index-linked from time to time).
  2. The income testTheir income in each of the last two years exceeded NIS 1,254,627 (as index-linked from time to time), or the income of the family unit to which they belong exceeded NIS 1,881,940 (as index-linked from time to time).
  3. The combined testThe total value of the liquid assets they own exceeds NIS 5,227,610 (as index-linked from time to time) and their income in each of the last two years exceeded NIS 627,313 (as index-linked from time to time), or the income, as above, of the family unit to which they belong exceeded NIS 940,969 (as index-linked from time to time).

[1] “Liquid assets”: cash, deposits, financial assets as defined in the Regulation of Investment Advice, Investment Marketing and Investment Portfolio Management Law, 5755-1995, and securities traded on a stock exchange. “Financial assets”: units as defined in the Joint Investment Trust Law, 5754-1994, shares or units of a fund registered outside Israel, options, futures contracts, structured products, index products and advanced study funds (keren hishtalmut). [2] “Family unit”: an individual and the family members living with them, or who are financially dependent on one another. Note that the above amounts are linked to the base index as of the date of the amendment.

Two ways to verify that an investor meets the First Schedule to the Securities Law:

  1. Evidence and informationPresenting evidence and information showing that the conditions of the First Schedule are met, to be approved by MyWhisky's legal advisers in line with the test the investor has declared under. This includes bank and managed-account statements, Form 106 salary statements, income tax returns and the like. List of documents to verify the declaration
  2. Written confirmationPresenting written confirmation from an accountant, a lawyer or, in appropriate circumstances, another external party (whose confirmation the offeror has reasonable grounds to rely on), stating that the party has taken reasonable steps (beyond the investor's own declaration) to verify that the investor meets the definition, and detailing those steps.
